CLEMENS has assisted DanHatch Group in connection with the acquisition of the remaining share capital in the French company BD France, which will subsequently be wholly owned by DanHatch Group. With this transaction, DanHatch Group strengthens its position in the French market and consolidates its role as one of the leading players in the poultry industry in Europe.
BD France was established in 2017 as a joint venture between the DanHatch Group and the Belgian group Belgabroed and currently operates six hatcheries in France. With full ownership, the French business is now fully integrated into the DanHatch Group, and the company will operate under the name DanHatch France going forward. The acquisition is a central part of the DanHatch Group’s long-term growth strategy, in which France represents a key market with significant volume and strategic importance for the Group’s European operations.
In connection with the announcement of the transaction, Anette Hermansen, Group CEO of DanHatch Group:

At the same time, Belgabroed and DanHatch Group have naturally evolved in different directions, and we therefore agree that consolidated ownership by a single party will, going forward, strengthen value creation for owners, customers, suppliers, and other partners.”
The transaction has just been approved by the relevant competition authorities.
Rasmus Schjoldager and Tommi Hjelmdal Ahrenholt from CLEMENS have assisted the DanHatch Group throughout the entire process and have provided advice on, among other things, transaction structure, corporate and contract law matters, negotiation of the transfer agreement, and completion of the acquisition in collaboration with local advisors.
